Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE YALLACOOK PLATFORM. BY ACCESSING OR USING THE YALLACOOK WEBSITE OR MOBILE APPLICATION, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE PLATFORM.

1. Definitions and Interpretation

1.1  In these Terms and Conditions, the following definitions apply unless the context requires otherwise:

Defined Terms

“Account” means a registered user account created by a Customer or Vendor on the Platform.

“Applicable Law” means all applicable laws, regulations, statutory instruments, and guidance in force in the United Kingdom, including but not limited to the Consumer Rights Act 2015, the Electronic Commerce (EC Directive) Regulations 2002, the UK General Data Protection Regulation, the Data Protection Act 2018, and all applicable food safety legislation.

“Commission” means the fee deducted by YallaCook from the Order Value payable to the Vendor in respect of each Transaction facilitated through the Platform, as set out in the Vendor Agreement.

“Consumer” has the meaning given in the Consumer Rights Act 2015, being an individual acting for purposes that are wholly or mainly outside that individual’s trade, business, craft, or profession.

“Content” means all text, images, photographs, graphics, logos, audio, video, software, and any other material made available on or through the Platform.

“Contract” means the contract for the sale and purchase of Products formed between a Customer and a Vendor upon Confirmation of Order.

“Confirmation of Order” means the email, in-app notification, or other electronic communication sent to the Customer confirming acceptance of the Order by the relevant Vendor.

“Customer” means any individual who creates an Account and places an Order on the Platform for personal, non-commercial purposes, or such other purposes as permitted by these Terms.

“Delivery Address” means the address specified by the Customer at the time of placing an Order.

“Delivery Service” means local delivery or nationwide chilled delivery services facilitated by or on behalf of YallaCook, whether conducted by YallaCook’s own logistics or third-party courier partners.

“Food Business Operator” has the meaning given in Regulation (EC) No 178/2002 as retained in UK law, and refers to Vendors who are registered food business operators.

“Intellectual Property Rights” means all patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use confidential information, and all other intellectual property rights, whether registered or unregistered.

“Local Delivery” means delivery of Products within a defined geographic radius of a Vendor’s premises, as specified on the Platform.

“Nationwide Chilled Delivery” means the delivery of temperature-sensitive Products via refrigerated or insulated courier services to addresses across the United Kingdom.

“Order” means a request submitted by a Customer through the Platform to purchase one or more Products from a Vendor.

“Order Value” means the total price payable by the Customer for Products and any applicable delivery charges as displayed at checkout.

“Payment Provider” means the third-party payment processing service used by YallaCook to process payments made on the Platform, including but not limited to Stripe, PayPal, or such other providers as YallaCook may designate from time to time.

“Platform” means the YallaCook website (www.yallacook.co.uk or such other URL as may be designated) and the YallaCook mobile application, together with any associated software, APIs, and digital services.

“Privacy Policy” means YallaCook’s privacy policy governing the processing of personal data, available at [www.yallacook.co.uk/privacy-policy], as updated from time to time.

“Products” means the food items, ready-to-eat meals, grocery items, and other products listed by Vendors and available for purchase through the Platform.

“Terms” means these Terms and Conditions, as amended from time to time in accordance with Clause 22.

“Transaction” means each completed sale of Products between a Customer and a Vendor facilitated through the Platform.

“Vendor” means a business or individual registered on the Platform to list and sell Products, including independent halal food vendors, supermarkets, food retailers, and food producers.

“Vendor Agreement” means the separate terms and conditions governing the relationship between YallaCook and each Vendor, incorporating these Terms as applicable.

“Working Day” means any day other than a Saturday, Sunday, or public holiday in England and Wales.

“YallaCook”, “we”, “us”, or “our” means YallaCook Ltd, a company registered in England and Wales.

1.2  In these Terms, unless the context otherwise requires: (a) the singular includes the plural and vice versa; (b) a reference to a statute or statutory provision is a reference to it as amended, extended, or re-enacted from time to time; (c) headings are for convenience only and shall not affect interpretation; (d) the words ‘including’, ‘include’, ‘in particular’, and ‘for example’ are to be construed without limitation.

2. About YallaCook

2.1  YallaCook is an online marketplace platform operated by YallaCook Ltd. We provide a digital infrastructure that connects Customers with independent halal food Vendors and food retailers across the United Kingdom. The Platform enables Customers to browse Vendor listings, place Orders, and arrange delivery of Products.

2.2  YallaCook acts solely as a marketplace intermediary and facilitator. We are not a food manufacturer, food producer, or food business operator in relation to the Products listed by Vendors on the Platform

2.3  YallaCook does not operate the kitchens, production facilities, or storage premises of Vendors. YallaCook does not prepare, cook, package, label, or otherwise handle the Products listed by Vendors on the Platform.

2.4  Each Contract for the sale and supply of Products is formed directly and exclusively between the Customer and the relevant Vendor. YallaCook is not a party to any such Contract and accepts no liability as a principal buyer or seller in relation to any Transaction, save as expressly provided in these Terms.

2.5  Where YallaCook facilitates payment processing and/or coordinates delivery logistics, it does so as an intermediary and agent acting on behalf of Vendors for those limited purposes, and not as a principal contracting party in relation to the Products themselves.

2.6  YallaCook may from time to time offer its own branded products or services. Where it does so, this will be clearly indicated on the relevant listing and YallaCook will act as the seller in respect of those items only.

3. Acceptance of Terms

3.1  By accessing, browsing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Cookie Policy, and any other policies or guidelines published on the Platform.

3.2  These Terms constitute a legally binding agreement between you and YallaCook. If you do not accept these Terms, you must immediately cease using the Platform.

3.3  You confirm that you are at least 18 years of age and have legal capacity to enter into binding contracts under the laws of England and Wales. By using the Platform, you represent and warrant that this is the case.

3.4  Where you are registering as a Vendor, you further confirm that you are duly authorised to act on behalf of your business and that your business is validly established and authorised to sell food products in the United Kingdom.

3.5  YallaCook reserves the right to modify these Terms at any time in accordance with Clause 22. Your continued use of the Platform following notification of any changes constitutes acceptance of the revised Terms.

4. Account Registration

4.1  To place an Order or list Products on the Platform, you must register for an Account. You may browse certain parts of the Platform without registering, but full functionality requires a registered Account.

4.2  When registering for an Account, you must provide accurate, complete, and up-to-date information. You must promptly update your Account information if it changes. YallaCook reserves the right to suspend or terminate any Account created using inaccurate or misleading information.

4.3  You are responsible for maintaining the confidentiality of your Account login credentials. You must not share your password or allow any third party to access your Account. You are responsible for all activity that occurs under your Account.

4.4  You must notify YallaCook immediately at [info@yallacook.co.uk] if you become aware of any unauthorised access to or use of your Account or any breach of security.

4.5  YallaCook will not be liable for any loss or damage arising from your failure to comply with this Clause 4.

4.6  You must not create more than one Customer Account without YallaCook’s prior written consent. YallaCook reserves the right to merge, close, or suspend duplicate Accounts.

4.7  Vendor Accounts are subject to additional requirements set out in the Vendor Agreement, including proof of food business registration, food hygiene certification, and relevant regulatory compliance documentation.

5. Ordering Process

5.1  All Orders placed through the Platform are subject to these Terms and, where applicable, any additional terms set out by the relevant Vendor on the Platform.

5.2  To place an Order, a Customer must: (a) select the desired Products from the Vendor’s listing; (b) add Products to the cart; (c) proceed to checkout and provide a valid Delivery Address and payment details; and (d) review and confirm the Order.

5.3  A Customer’s Order constitutes an offer to purchase the selected Products from the Vendor on the terms displayed at the time of ordering, including price, allergen information, and delivery method.

5.4  An Order is not accepted until the Customer receives a Confirmation of Order. YallaCook reserves the right, on behalf of Vendors, to decline any Order for any reason, including but not limited to: unavailability of Products; inability to fulfil the Delivery Address; or concerns regarding payment or account integrity.

5.5  YallaCook transmits Orders to the relevant Vendor electronically. The Vendor is responsible for accepting, preparing, and dispatching the Order. YallaCook does not guarantee that a Vendor will accept any particular Order.

5.6  Prices displayed on the Platform are inclusive of VAT where applicable, as set by the Vendor. Delivery charges are displayed separately at checkout. YallaCook does not set Vendor product prices.

5.7  Product descriptions, images, and other information on the Platform are provided by Vendors. YallaCook does not independently verify the accuracy of such information. Customers should review all product information, including allergen and ingredient details, before placing an Order.

5.8  Minimum Order values may apply and will be displayed at checkout where relevant.

6. Payments and Fees

6.1  All payments for Orders placed on the Platform are processed through our third-party Payment Provider. By making a payment, you agree to comply with the Payment Provider’s terms of service.

6.2  YallaCook collects payment from Customers on behalf of Vendors as a disclosed agent. Payment of the Order Value to YallaCook constitutes valid payment by the Customer to the Vendor.

6.3  YallaCook accepts payment by major debit and credit cards and any other payment methods displayed at checkout. All payments are subject to validation and authorisation by the Payment Provider.

6.4  YallaCook is not responsible for any charges, fees, or currency conversion costs imposed by your bank or card issuer.

6.5  Where a payment is declined, your Order will not be processed. YallaCook accepts no liability for Orders that cannot be completed due to payment failure.

6.6  YallaCook uses industry-standard encryption and payment security measures. However, YallaCook is not liable for any loss arising from unauthorised access to payment information that is not directly attributable to YallaCook’s own negligence.

6.7  Receipts and Order confirmations will be sent to the email address associated with your Account.

7. Commission Structure

7.1  YallaCook charges Vendors a Commission on each Transaction facilitated through the Platform. The applicable Commission rate is set out in the Vendor Agreement between YallaCook and the relevant Vendor.

7.2  YallaCook is entitled to deduct the applicable Commission from the Order Value collected from Customers before remitting the balance to the Vendor. The Commission represents YallaCook’s fee for access to the Platform and the facilitation of Transactions.

7.3  Commission rates may vary by Vendor, Product category, promotional arrangements, or volume of Transactions and will be communicated to Vendors as part of the onboarding process and Vendor Agreement.

7.4  YallaCook reserves the right to vary its Commission structure upon not less than 30 days’ written notice to Vendors. Continued use of the Platform by the Vendor following such notice constitutes acceptance of the revised Commission structure.

7.5  Vendor remittances will be made in accordance with the payment schedule set out in the Vendor Agreement, typically on a weekly or fortnightly basis, subject to any withholding required by law or permitted under these Terms.

7.6  YallaCook may withhold remittances where there is a reasonable dispute regarding a Transaction, a refund has been issued, or where there are concerns regarding a Vendor’s compliance with these Terms or Applicable Law.

8. Delivery Terms

8.1  General Delivery Provisions

YallaCook facilitates two delivery models: (a) Local Delivery, typically fulfilled by a local courier partner; and (b) Nationwide Chilled Delivery, fulfilled by temperature-controlled specialist couriers. The applicable delivery method for each listing is displayed on the Platform.

Delivery charges and estimated delivery times are displayed at checkout. Delivery estimates are indicative only and do not constitute a guarantee. YallaCook accepts no liability for delays caused by circumstances beyond its reasonable control or that of its courier partners.

8.2  Local Delivery

Local Delivery is available for Products from Vendors within the designated delivery radius. The Customer must provide an accurate Delivery Address falling within the Vendor’s delivery zone. Where a Delivery Address falls outside the applicable zone, the Order may be cancelled and the Customer refunded in accordance with Clause 11.

Local Delivery is subject to the Vendor’s own operational hours and capacity. YallaCook does not guarantee delivery within any specific time window for Local Delivery orders, though estimated time ranges are displayed where available.

8.3  Nationwide Chilled Delivery

Nationwide Chilled Delivery is available for eligible Products and Vendors across the United Kingdom. Products delivered by this method are transported using refrigerated or insulated packaging designed to maintain appropriate temperature conditions during transit.

YallaCook and its courier partners take reasonable steps to maintain temperature integrity during Nationwide Chilled Delivery. However, YallaCook cannot guarantee that Products will remain at a specific temperature throughout the entire delivery process, particularly in extreme weather conditions or due to delays caused by events outside YallaCook’s control.

Customers are responsible for ensuring that someone is available at the Delivery Address to receive chilled or perishable deliveries. YallaCook strongly recommends that Customers inspect the condition of temperature-sensitive Products upon receipt and contact YallaCook promptly at [info@yallacook.co.uk] if there are any concerns.

8.4  Risk Transfer

Risk in the Products transfers to the Customer upon successful delivery to the Delivery Address specified at the time of ordering. Where the Customer authorises delivery to be left at a specified safe location without signature, risk transfers upon the Products being left at that location.

8.5  Failed Delivery Attempts

Where a delivery attempt fails because no one is available to receive the Order, or because the Delivery Address provided is incorrect or inaccessible, the courier may leave a notification. A re-delivery attempt may be made at YallaCook’s or the courier’s discretion. YallaCook reserves the right to charge a re-delivery fee for failed delivery attempts attributable to the Customer.

Where delivery of a perishable Product fails due to an incorrect address provided by the Customer, or due to the Customer’s unavailability where a signature is required, YallaCook and the Vendor shall not be responsible for any deterioration of the Product, and a refund will not be available in such circumstances.

8.6  Incorrect Addresses

The Customer is solely responsible for ensuring the accuracy of the Delivery Address provided at the time of placing an Order. YallaCook shall not be liable for any loss, damage, or failure to deliver arising from an inaccurate or incomplete Delivery Address. Where an incorrect address is provided, YallaCook will endeavour to assist the Customer in resolving the issue but cannot guarantee that the Order will be successfully retrieved or re-delivered.

8.7  Courier Delays

Delivery times are estimates only. Delays may occur due to high Order volumes, adverse weather conditions, road closures, strikes, or other events outside YallaCook’s or the courier’s reasonable control. YallaCook shall not be liable for any loss or damage arising from delivery delays caused by third-party couriers or circumstances beyond its reasonable control.

9. Food Safety and Allergen Disclaimer

9.1  All Products listed on the Platform are prepared, handled, packaged, and supplied by independent Vendors who are themselves registered Food Business Operators responsible for compliance with all applicable UK food safety legislation, including but not limited to:

  • The Food Safety Act 1990
  • The Food Safety and Hygiene (England) Regulations 2013 (and equivalent legislation in Scotland, Wales, and Northern Ireland)
  • Regulation (EC) No 852/2004 on the hygiene of foodstuffs (as retained in UK law)
  • The Food Information for Consumers Regulations 2014 (and equivalent retained UK legislation)
  • The Allergen Labelling Regulations as applicable

9.2  YallaCook does not independently verify, audit, or monitor the food safety practices, hygiene standards, allergen management procedures, or ingredient accuracy of any Vendor. Vendor-provided information regarding allergens, ingredients, and nutritional content is published on the Platform as provided by the Vendor and has not been independently verified by YallaCook.

9.3  ALLERGEN WARNING: All Products may contain, or may have come into contact with, common allergens including but not limited to: gluten, crustaceans, eggs, fish, peanuts, soybeans, milk (including lactose), tree nuts, celery, mustard, sesame seeds, sulphur dioxide and sulphites, lupin, and molluscs. Customers with food allergies or intolerances must: (a) carefully review all allergen information provided in each product listing; (b) contact the Vendor directly prior to ordering if they have any doubts or concerns regarding allergen content; and (c) not rely solely on the information displayed on the Platform as a substitute for direct enquiry with the Vendor.

9.4  YallaCook does not accept liability for any adverse reaction, illness, injury, or death arising from the consumption of Products purchased through the Platform where such adverse reaction or harm results from: (a) inaccurate allergen or ingredient information provided by the Vendor; (b) cross-contamination during preparation or handling by the Vendor; (c) the Customer’s failure to enquire about allergens prior to purchase; or (d) any other act or omission of the Vendor in connection with the preparation or supply of the Products. In such circumstances, the Customer’s recourse is against the relevant Vendor directly.

9.5  Halal Certification: YallaCook operates as a marketplace focused on halal food products. Vendors listing Products as halal are responsible for ensuring that all Products so designated are genuinely halal-compliant and appropriately certified where required. YallaCook does not independently audit or certify the halal status of Vendor products. Customers who require confirmation of halal certification should contact the relevant Vendor directly.

9.6  Customers must ensure that any Products requiring refrigeration or specific storage conditions are stored appropriately upon receipt. YallaCook accepts no liability for any deterioration in Products arising from improper storage by the Customer following delivery.

10. Vendor Responsibilities

10.1  Each Vendor registered on the Platform agrees, as a condition of registration and continued access, to comply with the following obligations, which are incorporated into the Vendor Agreement:

Food Safety and Regulatory Compliance

10.2  Each Vendor must at all times:

  • Be registered as a Food Business Operator with the relevant local authority as required by law
  • Hold and maintain appropriate food hygiene standards, including a minimum food hygiene rating of 3 (as displayed on the Food Standards Agency’s national scheme) unless otherwise agreed in writing with YallaCook
  • Comply with all applicable UK food safety, hygiene, and labelling legislation
  • Ensure that all Products are prepared in premises that meet applicable hygiene standards
  • Maintain appropriate procedures for the management and labelling of the 14 major allergens required by UK law
  • Ensure that all allergen, ingredient, and nutritional information provided to YallaCook for publication on the Platform is accurate and up to date
  • Notify YallaCook promptly of any changes to allergen information, product formulations, or Product availability
  • Comply with all applicable requirements relating to halal food certification where Products are marketed as halal

Product Listings

10.3  Vendors must ensure that all Product listings on the Platform are accurate, not misleading, and comply with applicable UK advertising and food information laws. Vendors must not list Products that are unfit for human consumption, contain prohibited ingredients, or are otherwise unlawful to sell in the United Kingdom.

Packaging and Labelling

10.4  Vendors are responsible for ensuring that all Products are appropriately packaged and labelled in compliance with UK food labelling regulations, including the Food Information for Consumers Regulations 2014, prior to dispatch.

Order Fulfilment

10.5  Vendors must fulfil Orders in a timely manner and in accordance with the product descriptions and specifications listed on the Platform. Vendors must notify YallaCook promptly if they are unable to fulfil an accepted Order.

Tax and Regulatory Obligations

10.6  Vendors are solely responsible for their own tax obligations arising from Transactions facilitated through the Platform, including VAT where applicable, income tax, and corporation tax. YallaCook does not act as a tax agent for Vendors and accepts no liability for any tax liabilities of Vendors.

Compliance with YallaCook Policies

10.7  Vendors must comply with all applicable YallaCook policies, guidelines, and the Vendor Agreement at all times. YallaCook reserves the right to remove any Vendor listing or suspend any Vendor Account for failure to comply with these obligations.

11. Refunds, Cancellations, and Complaints

11.1  Cancellation by Customers

Due to the perishable nature of food products, Orders for freshly prepared or perishable food Products may not be cancelled once a Confirmation of Order has been received and the Vendor has commenced preparation.

For non-perishable grocery items and other Products not immediately prepared upon ordering, Customers who are Consumers may have a statutory right to cancel an Order within 14 days of receipt under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. However, this right does not apply to perishable or personalised food items. YallaCook will clearly indicate on the relevant listing whether cancellation rights apply.

To request a cancellation, Customers must contact YallaCook at [info@yallacook.co.uk] as soon as possible following placement of the Order.

11.2  Cancellation by YallaCook or Vendor

YallaCook reserves the right to cancel any Order on behalf of a Vendor where: (a) the Products are unavailable; (b) the Vendor is unable to fulfil the Order; (c) the Delivery Address is outside the applicable delivery area; or (d) payment has not been authorised. In such circumstances, a full refund of the Order Value will be issued to the Customer within 5 to 10 Working Days.

11.3  Refund Policy

YallaCook will investigate refund requests made in the following circumstances:

  • Products are not delivered
  • Products received are significantly different from those described on the Platform
  • Products are delivered in an unfit, damaged, or unsafe condition
  • Products contain undisclosed allergens that the Customer has specifically indicated an allergy to at the time of ordering

Refund requests must be submitted to YallaCook at [info@yallacook.co.uk] within 24 hours of delivery (or the expected delivery time in cases of non-delivery) and must include photographic evidence where applicable. YallaCook will liaise with the Vendor and, following investigation, determine whether a full or partial refund is appropriate.

Where YallaCook determines that a refund is due, refunds will be credited to the original payment method used by the Customer within 5 to 10 Working Days of the determination. YallaCook may, in appropriate cases, offer a credit or voucher in lieu of a monetary refund.

Where the Customer’s complaint relates to the Vendor’s conduct (including food safety concerns), YallaCook may escalate the matter to the Vendor and, where appropriate, to the relevant regulatory authority.

11.4  Disputes and Complaints

In the first instance, all complaints should be directed to YallaCook’s customer support team at [info@yallacook.co.uk]. YallaCook will acknowledge receipt of all complaints within 2 Working Days and endeavour to provide a substantive response within 10 Working Days.

YallaCook operates an internal complaints procedure. If your complaint is not resolved to your satisfaction, you may refer the matter to an approved alternative dispute resolution provider as detailed in Clause 20.

Nothing in these Terms affects your statutory rights as a Consumer under Applicable Law, including your rights under the Consumer Rights Act 2015.

12. Platform Availability

12.1  YallaCook endeavours to maintain the Platform as available and operational at all times. However, access to the Platform may from time to time be interrupted, suspended, or restricted for the purposes of maintenance, updates, or due to circumstances beyond YallaCook’s control.

12.2  YallaCook provides the Platform on an ‘as is’ and ‘as available’ basis and makes no warranty or representation that the Platform will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components.

12.3  YallaCook reserves the right to modify, suspend, or discontinue any feature, aspect, or the entirety of the Platform at any time without notice, to the extent permitted by law.

12.4  YallaCook shall not be liable for any loss or damage caused by unavailability of the Platform, except to the extent that such loss or damage is directly caused by YallaCook’s negligence or wilful misconduct.

13. Intellectual Property

13.1  The Platform and all Content, including but not limited to the YallaCook name, logo, trademarks, software, design elements, and databases, are owned by or licensed to YallaCook and are protected by applicable Intellectual Property Rights under UK and international law.

13.2  Nothing in these Terms grants you any right, title, or interest in the Platform or any Content, save for the limited licence set out in Clause 13.3 below.

13.3  YallaCook grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for the purposes of browsing, ordering, and otherwise using the Platform’s functionality in accordance with these Terms. This licence does not permit you to copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Platform or its Content without YallaCook’s prior written consent.

13.4  By submitting Content to the Platform (including reviews, photographs, or other user-generated content), you grant YallaCook a worldwide, royalty-free, non-exclusive, perpetual licence to use, reproduce, modify, distribute, and display such Content for the purposes of operating and promoting the Platform.

13.5  You represent and warrant that any Content you submit does not infringe any third party’s Intellectual Property Rights and that you have all necessary rights to grant the licence in Clause 13.4.

13.6  Any trade marks, logos, or brand names belonging to Vendors and displayed on the Platform remain the property of the relevant Vendor. YallaCook does not grant any rights in such trade marks to Customers.

14. User Conduct

14.1  You agree that you will not use the Platform:

  • In any way that is unlawful, fraudulent, or harmful, or in connection with any unlawful, fraudulent, or harmful purpose or activity
  • To transmit any unsolicited or unauthorised advertising or promotional material or any other form of solicitation
  • To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware
  • To harvest or collect email addresses or other contact information of other users from the Platform
  • To impersonate any person or entity or to misrepresent your affiliation with any person or entity
  • To post false, inaccurate, misleading, defamatory, or libellous content
  • To interfere with or disrupt the integrity or performance of the Platform or the data contained therein
  • To attempt to gain unauthorised access to any portion of the Platform or any other systems or networks connected to the Platform
  • To engage in price manipulation, shill reviewing, or any other conduct designed to artificially affect ratings, rankings, or search results on the Platform

14.2  YallaCook reserves the right to investigate and take appropriate legal action against any user who, in YallaCook’s sole discretion, violates this Clause 14, including but not limited to removing offending content, suspending or terminating the offending user’s Account, and reporting such activity to relevant law enforcement authorities.

14.3  Users must not post reviews or ratings of Products that are false, misleading, or based on anything other than genuine experience of the Products and services.

15. Limitation of Liability

15.1  Nothing in these Terms shall limit or exclude YallaCook’s liability for: (a) death or personal injury caused by YallaCook’s own negligence; (b) fraud or fraudulent misrepresentation by YallaCook; (c) any liability that cannot lawfully be excluded or limited under the Consumer Rights Act 2015 or other Applicable Law.

15.2  YallaCook acts as a marketplace intermediary only. The Contract for the supply of Products is between the Customer and the Vendor. YallaCook therefore accepts no liability for: (a) the quality, safety, fitness for purpose, or description of any Products listed by Vendors on the Platform; (b) any illness, injury, allergic reaction, or death resulting from the consumption of Products purchased through the Platform; (c) any food safety or hygiene failures on the part of Vendors; (d) inaccurate or incomplete allergen or ingredient information provided by Vendors.

15.3  YallaCook does not control the operations, kitchens, premises, or supply chains of Vendors and accordingly excludes all liability for any Vendor’s failure to comply with food safety legislation, allergen management requirements, or any other regulatory obligation. Claims in respect of such matters should be directed to the relevant Vendor.

15.4  YallaCook shall not be liable for any loss or damage arising from: (a) delivery delays caused by third-party couriers or circumstances outside YallaCook’s reasonable control; (b) failed deliveries caused by the Customer providing an incorrect Delivery Address; (c) deterioration of Products where delivery fails due to the Customer’s unavailability; (d) damage to Products caused by inadequate packaging provided by the Vendor; (e) temperature excursions during Nationwide Chilled Delivery caused by extreme weather conditions or courier delays outside YallaCook’s reasonable control.

15.5  To the maximum extent permitted by Applicable Law, YallaCook’s total aggregate liability to any Customer arising out of or in connection with any single Transaction shall be limited to the Order Value paid by the Customer for that Transaction.

15.6  Subject to Clause 15.1, YallaCook shall not be liable for any: (a) loss of profit; (b) loss of business; (c) loss of revenue; (d) loss of anticipated savings; (e) loss of goodwill; (f) business interruption; or (g) indirect, special, or consequential loss or damage, howsoever arising, even if YallaCook has been advised of the possibility of such loss.

15.7  YallaCook is not responsible for the content of any third-party websites linked to or from the Platform, and shall not be liable for any loss or damage arising from your use of such websites.

15.8  Where YallaCook provides reviews, ratings, or recommendations of Vendors or Products, these are provided for information only. YallaCook does not endorse or warrant the accuracy of such reviews, ratings, or recommendations.

15.9  The limitations of liability in this Clause 15 apply to the fullest extent permitted by Applicable Law and reflect a fair allocation of risk between YallaCook and users of the Platform, taking into account the nature of YallaCook’s role as a marketplace intermediary.

16. Indemnity

16.1  You agree to indemnify, defend, and hold harmless YallaCook, its directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your use of the Platform; (c) your violation of any third party’s rights, including Intellectual Property Rights; (d) any content you submit to the Platform; or (e) your violation of any Applicable Law.

16.2  In addition, each Vendor agrees to indemnify YallaCook against all claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (a) the Vendor’s Products, including any food safety, allergen, or labelling failures; (b) the Vendor’s failure to comply with Applicable Law; or (c) the Vendor’s breach of the Vendor Agreement or these Terms.

17. Force Majeure

17.1  Neither YallaCook nor any Vendor shall be liable to the other, or to any Customer, for any delay in or failure of performance of their respective obligations under these Terms to the extent that such delay or failure results from any event or circumstance beyond their reasonable control, including but not limited to:

  • Acts of God, including floods, fires, earthquakes, storms, or extreme weather conditions
  • Pandemic, epidemic, or public health emergencies declared by a governmental or regulatory authority
  • War, civil war, riots, terrorism, or civil unrest
  • Strikes, lock-outs, or other industrial action (other than by the party’s own employees)
  • Failure or disruption of utility services, telecommunications networks, or the internet
  • Acts or omissions of government or regulatory authorities
  • Supply chain disruptions or raw material shortages outside the party’s reasonable control

17.2  The party affected by a force majeure event will notify the other affected party (or, in the case of YallaCook, make a public announcement on the Platform) as soon as reasonably practicable and will take all reasonable steps to mitigate the effects of the force majeure event.

17.3  If a force majeure event continues for a period of more than 30 days, either party may terminate any affected Order or arrangement by providing written notice, and any amounts paid in advance for Products not yet delivered will be refunded.

18. Data Protection

18.1  YallaCook processes personal data in accordance with its Privacy Policy, available at [www.yallacook.co.uk/privacy], and in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

18.2  By using the Platform and creating an Account, you acknowledge that YallaCook will process your personal data as described in the Privacy Policy. This includes processing personal data for the purposes of: (a) account management; (b) order processing and fulfilment; (c) payment processing; (d) delivery coordination; (e) customer service and complaints handling; (f) marketing communications (where you have consented); and (g) legal compliance.

18.3  YallaCook shares personal data with third parties only as described in the Privacy Policy, including Payment Providers, courier partners, and Vendors (to the extent necessary to fulfil Orders). All third-party data processors engaged by YallaCook are required to process personal data in compliance with UK GDPR.

18.4  You have certain rights in relation to your personal data under the UK GDPR, including the right to access, rectify, erase, restrict, and port your personal data. Please refer to the Privacy Policy for further information on how to exercise these rights.

18.5  Vendors who receive Customer personal data (including names and Delivery Addresses) in connection with the fulfilment of Orders must process such data in compliance with the UK GDPR and the Data Protection Act 2018 and must not use such data for any purpose other than the fulfilment of the relevant Order, unless the Customer has separately consented to further use.

18.6  If you wish to raise a concern regarding YallaCook’s processing of your personal data, you may contact our Data Protection Officer at [dpo@yallacook.co.uk]. You also have the right to lodge a complaint with the Information Commissioner’s Office (ICO) at www.ico.org.uk.

19. Termination of Accounts

19.1  You may close your Account at any time by contacting YallaCook at [info@yallacook.co.uk]. Closure of your Account does not affect any Orders already placed or in progress.

19.2  YallaCook reserves the right to suspend or permanently terminate your Account, with or without notice, if:

  • You breach any provision of these Terms
  • YallaCook reasonably suspects fraudulent activity on your Account
  • You engage in conduct that YallaCook considers harmful to the Platform, other users, or third parties
  • YallaCook is required to do so by law or court order
  • YallaCook decides to discontinue the Platform or any part thereof

19.3  Where YallaCook suspends or terminates a Vendor Account for breach, YallaCook reserves the right to withhold pending remittances pending investigation and resolution of any outstanding matters.

19.4  Upon termination of your Account: (a) the licence granted to you under Clause 13.3 will immediately cease; (b) you must immediately cease using the Platform; and (c) any provisions of these Terms that by their nature should survive termination shall do so, including Clauses 13, 15, 16, 18, 20, and 21.

19.5  YallaCook accepts no liability to you for any loss arising from the suspension or termination of your Account where such suspension or termination is carried out in accordance with these Terms.

20. Dispute Resolution

20.1  In the event of any dispute arising between you and YallaCook in connection with these Terms or your use of the Platform, the parties will first attempt to resolve the dispute informally. You should raise your dispute by contacting YallaCook at [info@yallacook.co.uk]. YallaCook will use its reasonable endeavours to respond to and resolve your dispute within 10 Working Days.

20.2  If your dispute cannot be resolved informally within 30 days of it being raised with YallaCook, you may refer the matter to an approved alternative dispute resolution (ADR) provider. YallaCook will provide details of the applicable ADR scheme upon request.

20.3  Nothing in this Clause 20 affects your right as a Consumer to bring proceedings in the courts of England and Wales or, in appropriate cases, your right to use the European Commission’s Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

20.4  Subject to Clause 20.3, any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally determined by the courts of England and Wales, in accordance with Clause 21 below.

21. Governing Law

21.1  These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

21.2  Subject to Clause 20.3, each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

21.3  If you are a Consumer habitually resident in Scotland or Northern Ireland, you may also bring proceedings under the laws applicable in your place of habitual residence.

22. Changes to Terms

22.1  YallaCook reserves the right to amend these Terms from time to time. Where YallaCook makes material changes to these Terms, YallaCook will notify registered users by email, in-app notification, or a prominent notice on the Platform no less than 14 days before the changes take effect (or such shorter period as may be required by law or regulatory obligation).

22.2  Your continued use of the Platform after the effective date of any changes to these Terms will be deemed to constitute acceptance of the revised Terms. If you do not accept the revised Terms, you must cease using the Platform and may close your Account.

22.3  The date at which these Terms were last revised is displayed at the top of this document. YallaCook recommends that you review these Terms periodically.

23. Electronic Commerce Regulations

23.1  In accordance with the Electronic Commerce (EC Directive) Regulations 2002, YallaCook provides the following information:

23.2  The steps required to conclude a Contract through the Platform are: (a) browse and select Products; (b) add Products to cart; (c) proceed to checkout and enter required details; (d) review your Order summary; (e) confirm and submit payment; (f) receive a Confirmation of Order. The Contract is concluded upon receipt of the Confirmation of Order.

23.3  YallaCook will store a record of your Order and these Terms will remain accessible via the Platform at all times. You may request a copy of your Order details by contacting us at [info@yallacook.co.uk].

23.4  The Platform is available in English only. YallaCook does not guarantee that its website meets the requirements of any particular jurisdiction outside England and Wales.

24. General

24.1  Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by any court or competent authority, such provision shall be deemed deleted but that shall not affect the validity and enforceability of the remaining provisions of these Terms.

24.2  Waiver: No failure or delay by YallaCook in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude any other or further exercise of that right or remedy or the exercise of any other right or remedy.

24.3  Entire Agreement: These Terms (together with the Privacy Policy and, for Vendors, the Vendor Agreement) constitute the entire agreement between you and YallaCook with respect to your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and YallaCook.

24.4  Assignment: YallaCook may assign, transfer, or sub-contract any or all of its rights and obligations under these Terms without your consent. You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms without YallaCook’s prior written consent.

24.5  Third Party Rights: These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

24.6  No Partnership: Nothing in these Terms shall be deemed to create a partnership, joint venture, agency, or employment relationship between YallaCook and any Vendor or Customer.
